On Monday, August 10, 2026, the Zagreb Stock Exchange announced the preselection of a consortium's bid for the capital increase of the Crikvenica-based hotel company Jadran d.d. The bid is worth EUR 40.625 million and is backed by three companies: construction firm Texo Molior, industrial manufacturer of aluminum systems FEAL, and tourism group Aminess.
The three partners have established Adriatic Resorts Group, which, after the capital increase is completed, would acquire approximately 53.74 percent of shares and voting rights in Jadran. This would make the newly formed company the majority owner of one of Croatia's more prominent hospitality companies, with a rich history and a portfolio of hotels, resorts, and campsites in attractive seaside locations.
The preselected bid entails the issuance of 32.5 million new ordinary shares at a price of EUR 1.25 per share, bringing the total payment to EUR 40.625 million. However, formal steps remain before the transaction can be finalized, including the necessary decisions by the General Assembly of the Crikvenica hotelier.
The consortium brings together strong companies from construction, industry, and hospitality. In Dalmatia, Texo Molior is well known to the wider public as one of Croatia's leading construction firms, having been involved in numerous large-scale projects across the country for many years.
In Dubrovnik, it participated in the reconstruction and expansion of Lapadska obala and recently completed the new Elderly Care Center below the Dubrovnik General Hospital. In the Split area, it is carrying out the reconstruction and expansion of the St. Peter's Quay in the city harbor with a partner. In Omiš, it has already completed the port and new waterfront project, and it is part of the contractor consortium for the road project on the Dugi Rat, Omiš route. This summer, it was also selected to complete the renovation of the Širina intersection in Solin.
FEAL specializes in large-scale industrial production of aluminum systems, with years of experience and international operations, while Aminess is among Croatia's leading tourism groups. Their appearance in the consortium preselected for a majority stake in Jadran represents a new business venture, especially for Texo Molior, which the public has primarily known for executing major infrastructure projects.
The preselection of the bid marks a key step toward a new ownership structure for this significant Croatian hotel company, but the official process is not yet complete.
